1. Service Description

DeepMemory AI Limited ("we," "our," or "us") provides an AI-powered admin dashboard platform ("Service") that offers:

• Document management and knowledge extraction
• Meeting transcription and minute generation
• AI-powered image generation and editing using Gemini API
• AI chatbot creation and management for WhatsApp Business
• Project and team collaboration tools
• Google services integration (Calendar, Contacts, Gmail)
• Credit-based consumption tracking for AI features

2. Acceptance of Terms

By accessing or using our Service, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these terms, please do not use our Service.

3. Account Registration and Security

To use our Service, you must:

• Register using Google OAuth authentication
• Provide accurate and complete information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access
• Accept responsibility for all activities under your account

4. Acceptable Use Policy

You agree not to use the Service to:

• Upload, store, or transmit illegal, harmful, or offensive content
• Violate any laws, regulations, or third-party rights
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt the Service or servers
• Use the Service for commercial purposes without authorization
• Generate inappropriate or harmful content using AI features
• Exceed reasonable usage limits or abuse credit allocation
• Send spam, unsolicited messages, or violate anti-spam laws through chatbot features
• Use chatbots to harass, abuse, or deceive users
• Violate Meta's WhatsApp Business Platform Terms or policies
• Message WhatsApp users without obtaining proper opt-in consent

5. AI Services and Credit System

Our AI-powered features operate on a credit-based system:

• Each project receives monthly credit allocation (default 1000 credits)
• Credits are consumed for AI transcription, image generation, and editing
• Image generation costs 5 credits per generation
• Image editing costs 1 credit per edit operation
• Audio transcription costs 1 credit per minute
• Credits reset monthly and unused credits do not carry over
• We reserve the right to modify credit costs with notice

6. Google API Integration

Our Service integrates with Google APIs to provide enhanced functionality:

• Google Calendar: View, create, edit, and manage events
• Google Contacts: Access and manage contact information
• Gmail: Email-related functionalities and integration

By connecting your Google account, you authorize us to access these services on your behalf. You may revoke this access at any time through your Google account settings.

7. WhatsApp Business Integration and Chatbot Services

Our Service includes WhatsApp Business chatbot features that allow you to create and manage AI-powered chatbots for customer communication:

Platform Compliance:

• You must comply with Meta's Platform Terms and WhatsApp's Business Terms
• You are responsible for obtaining valid user consent before messaging WhatsApp users
• You must comply with all applicable anti-spam laws and regulations
• You must respect user privacy and honor data deletion requests

Your Responsibilities:

• You are solely responsible for the content of messages sent by your chatbot
• You must monitor chatbot conversations and ensure compliance with applicable laws
• You must provide clear identification that users are interacting with an AI chatbot
• You are responsible for maintaining your WhatsApp Business account in good standing
• You must not use chatbots to send unsolicited commercial messages (spam)

Service Limitations:

• We do not guarantee uninterrupted chatbot service availability
• We are not responsible for Meta's WhatsApp Business Platform downtime or restrictions
• We reserve the right to suspend chatbot features if you violate these terms or third-party policies
• AI-generated responses may not always be accurate or appropriate; you should monitor conversations

Data Processing:

• WhatsApp conversation data is processed according to our Privacy Policy
• Messages are transmitted through Meta's infrastructure and subject to their terms
• You grant us permission to process WhatsApp user data necessary to provide chatbot services
• We honor data deletion requests from WhatsApp users through Meta's deletion callback

8. Intellectual Property Rights

Your Content: You retain ownership of content you upload, create, or store using our Service.

AI-Generated Content: Content generated using our AI features (images, transcriptions, meeting minutes) is owned by you, subject to the underlying AI model's terms of use.

Our Service: The DeepMemory AI platform, including software, design, and documentation, is protected by intellectual property laws and remains our property.

9. Data Processing and Privacy

Our processing of your personal data is governed by our Privacy Policy. Key points include:

• We process data necessary to provide and improve our Service
• Third-party integrations (Google APIs, Gemini AI, Meta WhatsApp Business Platform) are subject to their respective terms
• You have rights regarding your personal data under applicable privacy laws
• We implement appropriate security measures to protect your data
• WhatsApp conversation data is processed in accordance with our Privacy Policy and Meta's policies

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND
• WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES
• OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU IN THE LAST 12 MONTHS
• WE ARE NOT RESPONSIBLE FOR THE ACCURACY OF AI-GENERATED CONTENT
• WE ARE NOT LIABLE FOR THIRD-PARTY SERVICE INTERRUPTIONS OR DATA LOSS

11. Service Availability

While we strive for high availability, we do not guarantee uninterrupted access to the Service. We may suspend or terminate the Service for maintenance, updates, or other operational reasons with reasonable notice when possible.

12. Termination

Either party may terminate your access to the Service:

• By You: You may stop using the Service at any time
• By Us: We may suspend or terminate accounts that violate these terms
• Effect of Termination: You will lose access to the Service and stored data
• Data Retention: We may retain data as required by law or our Privacy Policy

13. Modifications to Terms
